These Terms of Service ("Terms") are an electronic record under the Information Technology Act, 2000 and govern your use of the SignSpry website, applications, and services ("SignSpry", "the Service", "we", "us"). By creating an account or using the Service you agree to these Terms. If you use SignSpry on behalf of an organisation, you confirm you are authorised to bind that organisation.
1. The Service
SignSpry lets you prepare, send, sign, and manage documents electronically, including document editing, templates, workflow routing, payment collection during signing, integrations, and an application programming interface (API). Completed documents are digitally sealed and accompanied by a certificate of completion and audit trail.
2. Electronic signatures & legal effect
Contracts formed through electronic means are valid and enforceable in India under Section 10A of the Information Technology Act, 2000. SignSpry records signer identity indicators (name, email, IP address, device information), consent, and timestamps, and seals completed documents cryptographically.
Certain documents are excluded from electronic execution by Indian law — including negotiable instruments (other than cheques), powers-of-attorney, trusts, wills and other testamentary dispositions, and contracts for the sale or conveyance of immovable property. You are responsible for ensuring your documents may lawfully be executed electronically, and for any stamp-duty obligations that apply to them. SignSpry does not provide legal advice.
3. Your account
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. We strongly recommend enabling two-factor authentication. Notify us immediately at support@signspry.com of any unauthorised use.
4. Acceptable use
You agree not to use the Service to: send spam or unsolicited bulk communications; upload unlawful, infringing, defamatory, or malicious content; impersonate any person or forge another person's signature; violate any applicable law; probe, disable, or overload our infrastructure; or resell the Service without our written consent. We may suspend or terminate accounts engaged in abuse, with notice where practicable.
5. Plans, fees & taxes
Paid plans are billed per user, monthly or annually, in Indian Rupees, exclusive of GST which is charged additionally at the prevailing rate. Each plan includes an envelope allowance per account per billing month; purchased top-up packs carry no expiry. Accounts opened before the allowance was introduced retain their original "unlimited envelopes" terms, subject to fair, anti-abuse limits (such as rate limiting) intended only to prevent spam and platform abuse. Prices may change with at least 30 days' notice; changes apply from your next billing cycle. Refunds are governed by our Refund & Cancellation Policy.
6. Your content
You retain all rights to documents and data you upload ("Customer Content"). You grant us a limited licence to host, process, transmit, and display Customer Content solely to provide the Service — including rendering documents, generating AI summaries on our own servers, sealing completed PDFs, and delivering copies to your recipients. We do not sell Customer Content or use it to train machine-learning models.
7. Recipients
You are responsible for having a lawful basis to send documents to your recipients. Recipients interact with the Service without an account; their signing events are recorded in the envelope's audit trail, which is shared with the envelope parties.
8. Payments collected through documents
Payment fields facilitate payment between you and your signer via UPI or your connected payment gateway (e.g. Razorpay). SignSpry is not a party to that payment, is not a payment aggregator, and does not hold funds. Disputes about underlying payments are between you and your signer and/or your gateway.
9. Availability & support
We aim for high availability but the Service is provided "as is" and "as available". We perform backups and maintain security controls as described on our site, but no service is uninterrupted or error-free. Support is provided by email at support@signspry.com.
10. Intellectual property
The Service, including software, design, logos, and template library, is owned by SignSpry and its licensors. See our Intellectual Property Policy for details, including how to report infringement.
11. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill; and (b) our total aggregate liability arising out of the Service is limited to the fees you paid to us in the twelve months preceding the claim (or ₹5,000 for free accounts). Nothing limits liability for fraud or wilful misconduct.
12. Indemnity
You will indemnify us against third-party claims arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of law.
13. Termination
You may stop using the Service and delete your account at any time from Privacy & data in the app. Deletion takes effect after a 30-day grace period during which your admins can cancel it or export your completed documents and audit trails; after that everything is permanently deleted, subject to legal retention obligations for billing records. We may suspend or terminate for material breach, in which case the same 30-day export window applies.
14. Changes to these Terms
We may update these Terms; material changes will be notified by email or in-app at least 15 days in advance. Continued use after the effective date constitutes acceptance.
15. Governing law & disputes
These Terms are governed by the laws of India. Courts at Mumbai, Maharashtra shall have exclusive jurisdiction, subject to any mandatory arbitration or consumer-protection rights available to you under law.
